Agreement to these terms
These Terms & Conditions ("Terms") govern your access to and use of the RightPrice service, including the website at tryrightprice.com and the application at app.tryrightprice.com (together, the "Service"). The Service is operated by Gus Neill, trading as RightPrice ("RightPrice", "we", "us", "our").
By accessing the Service, submitting an enquiry, or entering into a service agreement with us, you agree to these Terms. If you do not agree, do not use the Service.
The service
RightPrice is a peer-based pricing analysis service for B2B sales organisations. The Service analyses your transaction data to identify pricing variance, set pricing floors and targets benchmarked against comparable customers, and provide reporting tools for sales managers and representatives.
The Service is delivered on a done-with-you basis and includes:
- A one-time onboarding engagement (schema setup, cluster workshop, initial price set)
- Ongoing access to the RightPrice application with regular price model refreshes
- AI-generated pricing insights based on your uploaded data
Fees and payment
Fees are agreed in writing prior to commencement of each engagement. Fees are quoted and payable in Australian dollars (AUD) exclusive of GST. Where GST applies, it will be added to invoices at the prevailing rate.
Payment is due within 14 days of invoice. We reserve the right to suspend access to the Service for accounts with outstanding invoices more than 14 days overdue.
Fees are non-refundable except where required by Australian consumer law.
Your data
You retain ownership of all transaction data, customer data, and other business information you upload to the Service ("Client Data"). RightPrice does not claim any ownership over Client Data.
By uploading Client Data, you grant RightPrice a limited licence to process, store, and analyse that data solely for the purpose of providing the Service to you. We will not share Client Data with third parties except as described in our Privacy Policy or as required by law.
You are responsible for ensuring you have the right to upload Client Data to the Service, including that it complies with any applicable privacy obligations relating to your customers and employees.
On termination of the service relationship, we will delete or return Client Data within 30 days of your written request.
Intellectual property
RightPrice owns all intellectual property in the Service, including the software, pricing engine, methodologies, algorithms, dashboards, and all related materials. Nothing in these Terms transfers any ownership of RightPrice's intellectual property to you.
You may not reverse-engineer, copy, reproduce, or create derivative works from the Service without our prior written consent.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Upload data that infringes third-party intellectual property rights
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Resell, sublicence, or otherwise make the Service available to third parties without our written consent
- Use the Service in a way that could damage, disable, or impair our systems
Disclaimer
The pricing analysis, floors, targets, and insights provided by RightPrice are based on your historical transaction data and statistical methods. They are analytical outputs, not financial advice. Pricing decisions remain entirely at your discretion.
RightPrice makes no warranty that the Service will produce any particular commercial outcome, including any specific level of margin improvement or revenue increase. Results will vary depending on your market, customers, team, and implementation.
The Service is provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, RightPrice's total liability to you for any claim arising out of or in connection with the Service — whether in contract, tort (including negligence), or otherwise — is limited to the fees paid by you to RightPrice in the three months immediately preceding the event giving rise to the claim.
RightPrice is not liable for any indirect, consequential, special, or incidental loss, including lost revenue, lost profits, lost data, or business interruption, even if we have been advised of the possibility of such loss.
Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under Australian law.
Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information"), and not to disclose it to any third party without the other party's prior written consent, except as required by law or to employees and contractors who need to know it for the purpose of delivering the Service.
This obligation survives termination of the service relationship for two years.
Term and termination
These Terms apply from the date you first access the Service or agree to a service arrangement with us.
Either party may terminate the ongoing retainer with 30 days' written notice. Any onboarding fee is non-refundable once the onboarding engagement has commenced.
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if we reasonably believe continued access poses a security or legal risk.
On termination, provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive.
Changes to the service and these terms
We may update these Terms from time to time. We will notify existing clients of material changes by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
We may also modify or discontinue the Service (or any part of it) with reasonable notice to existing clients.
Governing law
These Terms are governed by the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising under these Terms.
Nothing in these Terms limits any rights you may have under the Australian Consumer Law.
